As a key member of the Comverge support group the selected candidate will be an integral member of the Legal Department, responsible for driving Comverge products and services by successfully assisting the Legal Department.

The selected candidate will have ample opportunity to gain new skills and an expanded role as they demonstrate proficiency.

The following is an overview of the responsibilities for this position.

· Securities/Stock – coordinating the granting of stock options/restricted stock under the company’s stock plan; monitoring the activities of the transfer agent; assisting stockholders and stock plan participants with their holdings and accounts; basic record-keeping and data entry.

· Corporate Governance – assisting the Corporate Secretary with documenting/control of company records – minutes, resolutions, etc. Compiling board and committee materials; assisting with annual proxy work and other SEC filings; · Research – advanced research capability; Must understand legal concepts, terminology, principals and procedures.

· General Corporate Duties – Must have knowledge of incorporation, organization, dissolution and merger of corporations required.

Prepares legal documents such as initial and amended articles of incorporation, stock certificates and other securities, closing documents and binders for review and approval.

· Adminstration – Must be organized and capable of processing documents, drafting letters, filing, and handling legal processing work.

Education/Experience: · SA or AAS in Paralegal Studies or Paralegal Certificate is ideal.

· Minimum of five years related paralegal work experience.

· Experience with contract administration a plus.

· Experience with stock plan administration software (Equity Enterprise).

Skills: · Exceptional organization skills with strong multi-tasking abilities.

· Exceptional interpersonal and communication skills.

· Self-motivated and analytical.

· Candidate must have the ability to manage a high-volume workload in a fast-paced environment, and must have the ability to work independently and with minimal supervision in a team environment.

· Ability to communicate with co-workers and outside parties.

Software Skills: · Strong computer skills including command of MS Office (Word, Excel, and Outlook).

To perform this job successfully, an individual should have knowledge of the Internet, legal researching, and corporate drafting.
